A pro forma invoice is a preliminary document that shows the expected goods, services, quantities, prices and terms before a final sale invoice is issued.

Use it when a buyer, importer or internal approver needs transaction details before the sale is finalized, but label it clearly so nobody treats it as a demand for payment.

A pro forma invoice should say that it is preliminary and not a tax invoice or final request for payment. Give it its own reference, validity period, currency, description of the goods or services, quantity, price, expected shipment details, payment terms, and buyer and seller information. If the order changes, revise the preliminary document without pretending the old version never existed.

Is it legally binding? The label alone does not answer that question. A signed sales agreement, purchase order, accepted quotation, deposit, or the parties’ conduct may create obligations even when the document says pro forma. For an international trade transaction, confirm the legal and customs effect with the relevant adviser and carrier.

Before you send a pro forma invoice

Agree how long the quoted prices remain valid and whether freight, insurance and tax are estimates. If a buyer uses the document to obtain approval, give the revised version a clear reference when quantities change. Keep the final invoice separate and cross-reference the accepted order; copying the preliminary total without checking what actually shipped is a common source of discrepancies.

Example

An exporter sends a pro forma invoice for 100 units at an agreed unit price so the buyer can arrange approval and customs planning, then issues the final commercial invoice when the goods ship.

What to watch for

A pro forma invoice is not automatically a tax invoice, commercial invoice, purchase order or final accounting entry, and its legal effect depends on the surrounding contract and jurisdiction.
